Corporate governance is concerned with the relationship between the management and the shareholders, and more generally the stakeholders, of the corporation. It is the formal codification of the manner in which the corporation is governed, of the accountability of its management and its supervision, of the manner in which stakeholders, and more particularly shareholders, are enabled to gain an insight into the state of affairs within the corporation, and finally, of the way in which they can influence the decision-making process. With regard to this final issue, voting rights and the manner in which the vote can be exercised, play an important role.
